1. Acceptance of Terms

By accessing or using OfficeCred ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Platform.

We reserve the right to modify these Terms at any time. Your continued use of the Platform following any changes constitutes acceptance of those changes.

2. Description of Service

OfficeCred is a platform that enables users to provide and receive anonymous professional references through structured polls. The Platform aggregates anonymous feedback to generate professional reputation scores ("OfficeCreds").

3. Eligibility

• You must be at least 18 years old to use the Platform.
• You must have the legal capacity to enter into a binding agreement.
• You may not use the Platform if you have been previously banned or removed.

4. User Accounts

• You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activities that occur under your account.
• You must provide accurate and complete information when creating an account.
• You must notify us immediately of any unauthorized use of your account.

5. Acceptable Use Policy

You may NOT use the Platform to:

• Submit false or misleading information with intent to harm someone's reputation
• Engage in harassment, bullying, or discrimination against any individual
• Coordinate with others to artificially inflate or deflate someone's scores
• Create multiple accounts to submit multiple reviews for the same person
• Submit reviews for individuals you have not actually worked with professionally
• Attempt to identify the source of anonymous reviews
• Use automated tools, bots, or scripts to interact with the Platform
• Circumvent any security or access controls
• Violate any applicable laws or regulations

6. User Content and Responsibility

• You retain responsibility for the accuracy and legality of your submissions.
• You grant OfficeCred a perpetual, irrevocable, royalty-free license to use, aggregate, and display your anonymous responses.
• OfficeCred does not pre-screen, monitor, or endorse user-submitted content.

7. Disclaimer of Warranties

• We do not warrant that the Platform will be uninterrupted, error-free, or secure.
• We do not warrant the accuracy, completeness, or reliability of any user-submitted content or OfficeCred scores.
• OfficeCred scores represent aggregated anonymous opinions and are not verified facts.

8. Limitation of Liability

In no event shall our total liability exceed the greater of (a) the amount you paid to us in the past 12 months, or (b) $100 USD.

9. Indemnification

You agree to indemnify, defend, and hold harmless OfficeCred and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses arising from:

• Your use of the Platform
• Your violation of these Terms
• Your violation of any third-party rights, including intellectual property or privacy rights
• Any content you submit to the Platform

10. Intellectual Property

• The Platform, including its design, features, and content (excluding user-submitted content), is owned by OfficeCred and protected by intellectual property laws.
• You may not copy, modify, distribute, or create derivative works without our prior written consent.
• "OfficeCred" and associated logos are trademarks of OfficeCred.

11. Termination

• We may suspend or terminate your account at any time, with or without cause, with or without notice.
• Upon termination, your right to use the Platform ceases immediately.
• Anonymous poll responses you have submitted will remain in our system as aggregated, non-identifiable data.
• Provisions that by their nature should survive termination shall survive (including Disclaimers, Limitation of Liability, and Indemnification).

12. Dispute Resolution

12.1 Informal Resolution

Before filing any formal dispute, you agree to first contact us at [email protected] to attempt to resolve the dispute informally.

12.2 Arbitration Agreement

Any dispute arising from these Terms or your use of the Platform shall be resolved through binding arbitration, rather than in court, except that you may assert claims in small claims court if eligible.

12.3 Class Action Waiver

You agree that any arbitration or legal proceeding shall be conducted on an individual basis and not as a class action, collective action, or representative action.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and OfficeCred regarding your use of the Platform and supersede all prior agreements and understandings.
